(A useful book that bridged law, practice and ESOP strategy to provide a practical perspective on ESOPs)

Employees’ Stock Option Plans (ESOPs) are not merely compensation tools; they serve as a strategic mechanism to align employee incentives with organisational performance and long-term value creation. Understanding their structure, regulatory framework, and practical implementation is therefore essential for both professionals and serious learners.

Rajesh Relan authored a comprehensive book on ESOPs at a time when the regulatory framework in India was governed by the Companies Act, 1956 and SEBI Guidelines.

The book presented the subject in a structured and application-oriented manner, effectively translating complex legal provisions into practical and implementable guidance.

The book covered the entire ESOP lifecycle in a detailed and sequential manner—beginning with the fundamental concepts, need, advantages, and limitations of stock options, and progressing through the various stages of designing and implementing an ESOP scheme. It clearly explained key processes such as formulation of the scheme, obtaining shareholder approvals, grant and vesting of ESOPs, exercise mechanisms, and listing-related compliances.

In addition, the book dealt extensively with critical functional areas including valuation, accounting treatment, and taxation of ESOPs, providing clarity on issues that professionals often find complex in practice. While the regulatory landscape has since evolved with the Companies Act, 2013 and revised SEBI regulations, the foundational principles, structural framework, and practical challenges discussed in the book continue to remain highly relevant. The book therefore served as a guide to ESOP implementation under the earlier regulatory regime and continues to act as a valuable reference point for understanding the evolution of ESOP regulations and practices in India.

Overall, the book stands out as one of the few India-focused ESOP resources that combines legal framework, process clarity, and execution-oriented guidance in an integrated manner.
